1. ELIGIBILITY



This Patexia Contest (the “Contest”) is offered by Patexia Inc. (“Patexia”) to residents of the 50 United States, the District of Columbia, and U.S. territories who are the age of majority at the time of entry. By entering, you agree to these “Official Rules.” The decisions of Patexia are final and binding in all respects. Void where prohibited by law.

2. CONTEST PERIOD AND VOTING PERIODS

Patexia may have multiple contests running simultaneously. The beginning and end time for each of Patexia’s contests (“Contest Period”) is shown in the “Contest Details” for each contest.

3. ENTRY AND VOTING



There is no purchase necessary to enter the Contest. However, all Contest entrants and voting members must be registered members of Patexia at the time of submission and voting, accept Patexia’s Terms of Service and Privacy Policy, and remain registered members during the entire Contest Period.
 
You may submit only one entry (“Submission”) for each Contest. Contest entrants may not enter with multiple emails or identities. Patexia members may vote on only one entry per Contest. You are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering money, prizes or other inducements.

4. RIGHTS TO SUBMITTED CONTENT



Grant of license: By submitting an entry to the Contest, you grant Patexia, its successors-in-interest, subsidiaries, and parent companies, a worldwide, perpetual, irrevocable, transferable, non-exclusive, sub-licensable right and license to, in whole or in part, with or without attribution to you, use, copy, modify, edit, adapt, publish, publicly display/perform, translate, create derivative works from and/or license and/or distribute, in any media now known or hereafter created, content in the Contest entry (“Submitted Content”). Patexia’s rights to Submitted Content include the right to use it for our own internal business purposes; and/or to reproduce and distribute the materials for Patexia’s marketing and publicity purposes.

Assignment of Copyright: You agree that, if chosen as a Contest winner, you will and hereby do, upon Patexia’s tender of the Contest Prize to you, irrevocably grant, assign and transfer to Patexia the entire copyright in and to your Submitted Content, which includes, without limitation, the worldwide, perpetual, irrevocable, transferable, exclusive, and sub-licensable right and license to, in whole or in part, with or without attribution to you, use, copy, modify, edit, adapt, publish, publicly display/perform, translate, create derivative works from and/or license and/or distribute, in any media now known or hereafter created, your Submitted Content. You also agree that, if chosen as a Contest winner, you will execute, sign and deliver any documents necessary to confirm transfer of the ownership of the copyright in and to your Submitted Content to Patexia, upon Patexia’s reasonable request.



You represent that: all statements you assert in your Submitted Content as fact are factual.
Your Submitted Content is original and your own work, as a single author, except where otherwise disclosed and attributed to another source.
you are the owner of your original content in your Submitted Content and have the right to grant the rights in this Section 4 of these Official Rules
your Submitted Content does not infringe or violate any patent, copyright, non-disclosure agreement, confidentiality clause, trade secret, trademark or other third-party intellectual property right, rights of privacy, publicity or other rights of any person or entity.

Your Submitted Content does not violate any U.S. federal, state or local law, rule or regulation, including those concerning health care information, such as HIPAA.  If your Submitted Content includes personally identifiable information about yourself, you are solely responsible for any consequences thereof.
If your Submitted Content contains personally identifiable information of any other person, you have obtained, such person's written consent to include their personally identifiable information in your Submitted Content.  Your participation in the Contest and representations regarding Submitted Content are subject to Patexia’s Terms of Service and Privacy Policy.

5. WINNER SELECTION



Contest winners will be selected in accordance with the “Contest Details” for each contest.

6. PRIZES



Contest prizes will be awarded in accordance with the “Contest Details” for each Contest. All Contest winners are subject to verification.Patexia may conduct an audit of the Contest voting or submission, and may postpone the announcement of the Contest winners until the conclusion of such audit. All prizes are expressed in U.S. Dollars. By entering the Contest, you agree that you name and likeness may be used for advertising and promotional purposes, without further consideration, in connection with the Contest or Patexia’s business.

Taxes on prizes are the sole responsibility of Contest winners. You must provide taxpayer identification information to Patexia as a condition to receiving the Prize.

7. GENERAL CONDITIONS

Patexia reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the operation of the Contest or to be in violation of Patexia’s Terms of Service or Privacy Policy.
 
If for any reason this Contest is not capable of being conducted as planned, Patexia reserves the right to cancel, terminate, modify or suspend the Contest. If the Contest is terminated or postponed, notice will be posted on the Site.

8. LIMITATIONS OF LIABILITY



PATEXIA IS NOT RESPONSIBLE FOR LATE, LOST, ILLEGIBLE, OR MISDIRECTED ENTRIES ON ACCOUNT OF TECHNICAL PROBLEMS, HUMAN ERROR, OR ANY COMBINATION THEREOF.
 
IN NO EVENT WILL PATEXIA, ITS DISTRIBUTORS, AFFILIATES, SUBSIDIARIES, VENDORS, ADVERTISING AGENCIES, PROMOTION AGENCIES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES OR AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE CONTEST. WITHOUT LIMITING THE FOREGOING, EVERYTHING IN THE CONTEST IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENET ALLOWED BY YOUR JURISDICTION. IN ALL EVENTS, THE SOLE MAXIMUM LIABILITY OF PATEXIA AND ITS AFFILIATES SHALL BE LIMITED TO THE VALUE OF THE CONTEST PRIZES.

9. ARBITRATION AND DISPUTES



As a condition of participating in this Contest, you agree that any and all disputes, arising out of or relating to the Contest, shall be resolved individually, and you expressly waive the right to bring any form of class action. All disputes concerning the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to the conflict of laws rules thereof, and you agree to the exclusive jurisdiction and exclusive venue of the federal, state and local courts in Los Angeles County, California for any disputes.

The names of the Contest winners will be posted on the Site. You may also obtain the names of the winners by emailing contests@patexia.com.
