1. ELIGIBILITY



This Patexia Contest (the “Contest”) is offered by Patexia Inc. (“Patexia”) to those who are the age of majority at the time of entry. By submitting an entry to this Contest you are agreeing to be bound by these Contest Rules which constitute a binding agreement between you and Patexia.  These Contest rules do not supersede but work in conjunction with the Patexia Terms of Service and Privacy Policy. Users may enter the Contest and be selected as a winner but are not eligible to receive any Prize in the Contest if the user is a resident of a country designated by the United States Treasury’s Office of Foreign Assets Control (see <http://www.treasury.gov/resource-center/sanctions/SDN-List/Pages/default.aspx> for additional information). The decisions of Patexia are final and binding in all respects. Void where prohibited by law. Contest participation is subject to all federal, state and local laws and regulations and shall be governed by California law. Void where prohibited or restricted by law. You are responsible for checking applicable laws and regulations in your jurisdiction before participating in the Competition to make sure that your participation is legal.

2. CONTEST PERIOD

Patexia may have multiple contests running simultaneously. The beginning and end time for each of Patexia’s contests (“Contest Period”) is shown in the “Contest Details” for each contest.

3. ENTRY AND VOTING



There is no purchase necessary to enter the Contest. However, all Contest entrants must be registered members of Patexia at the time of submission, accept Patexia’s Terms of Service and Privacy Policy, and remain registered members during the entire Contest Period.
 You may submit only one entry (“Submission”) for each Contest.  
You may only participate using a single, unique Patexia account registered at http://www.patexia.com. Participating using more than one Patexia account per individual Participant is a breach of these Contest Rules and Patexia reserves the right to disqualify any Participant (or Team including Participant) who is found to breach these Contest Rules.  


4. RIGHTS TO SUBMITTED CONTENT



Grant of license: By submitting an entry to the Contest, you grant Patexia, its successors-in-interest, subsidiaries, and parent companies, a worldwide, perpetual, irrevocable, transferable, non-exclusive, sub-licensable right and license to, in whole or in part, with or without attribution to you, evaluate, use, copy, modify, edit, adapt, publish, publicly display/perform, translate, create derivative works from and/or license and/or distribute, in any media now known or hereafter created, execute investment, trading or any other market transactions or strategies based thereon, disclose to third party all or any portion of, content in the Contest entry (“Submitted Content”). Patexia’s rights to Submitted Content include the right to use it for our own internal business purposes; and/or to reproduce and distribute the materials for Patexia’s marketing and publicity purposes.

Assignment of Copyright: You agree that, if chosen as a Contest winner, you will and hereby do, upon Patexia’s tender of the Contest Prize to you, irrevocably grant, assign and transfer to Patexia the entire copyright in and to your Submitted Content, which includes, without limitation, the worldwide, perpetual, irrevocable, transferable, exclusive, and sub-licensable right and license to, in whole or in part, with or without attribution to you, use, copy, modify, edit, adapt, disclose, publish, publicly display/perform, translate, combine with other work, create derivative works from and/or license and/or distribute, in any media now known or hereafter created, your Submitted Content. You also agree that, if chosen as a Contest winner, you will execute, sign and deliver any documents necessary to confirm transfer of the ownership of the copyright in and to your Submitted Content to Patexia, upon Patexia’s reasonable request.



You represent that: all statements you assert in your Submitted Content as fact are factual.
 Your Submitted Content is based on publicly available information, except where you add your own conclusions or analysis. You have no legal, ethical, or contractual obligation NOT to disclose the material in your Submitted Content and have the right to grant the rights in this Section 4 of these Official Rules
. Your Submitted Content does not violate any U.S. federal, state or local law, rule or regulation or, if you are located outside the U.,S,. any regulation of the country in which you are located. Your participation in the Contest and representations regarding Submitted Content are subject to Patexia’s Terms of Service and Privacy Policy. You agree to not directly or indirectly disclose, sell, assign or transfer all or any part of the Submitted Content to any third person or otherwise use the Submitted Content for any other purpose.

Further information or assistance: You agree to provide Patexia with any additional information, clarification or assistance required in relation to your Submitted Content.

5. CONFIDENTIAL INFORMATION

Do not post any confidential information on this website. You agree to only post information on this Site that is acceptable for publication in a public forum and that anything you post on this Site is non-confidential and is not subject to any restriction against publication or dissemination.  You are responsible for abiding by your employer's policies regarding participation in the Competition. Competition Sponsor disclaims any and all liability or responsibility for disputes arising between you and your employer related to this Competition.

6. NON-DISCLOSURE TERMS

By virtue of this agreement, you agree not to disclose any information about this contest, your submission and collective references you include with your submission to any third party without prior written approval of Patexia.

7. WINNER SELECTION



Contest winners will be selected in accordance with the “Submission Notes” for each contest. Patexia reserves the right to decide how the Contest Prize will be distributed in case multiple Contest Submissions are the same as or similarly qualified to the winning Submission. Patexia reserves the right to not accept any Submission that is not relevant to the topic of the Contest. Such a Submission is not entitled to any part of the Contest Prize.

8. PRIZES

Contest Prizes will be awarded in accordance with the “Contest Details” for each Contest. All Contest winners are subject to verification. Patexia may conduct an audit of the Contest Submission, and may postpone the announcement of the Contest winners until the conclusion of such audit. All Prizes are expressed in U.S. Dollars.  No transfer, substitution or cash equivalent for prizes is allowed, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize, in whole or in part, if a prize cannot be awarded, in whole or in part, as described for any reason. Value is subject to market conditions, which can fluctuate and any difference between actual market value and actual retail value will not be awarded.  By entering the Contest, you agree that your name and likeness may be used for advertising and promotional purposes, without further consideration, in connection with the Contest or Patexia’s business. 

Contest winners are solely responsible for all taxes and reporting related to any award that they may receive as part of the Contest. All payments will be made net of any withholdings or other deductions. You must provide taxpayer identification, payment and other information required by Patexia as a condition to receiving the Prize. If you are a US person, you need to provide W9 form. Non US persons need to provide W8-BEN.  Patexia may require additional tax information as necessary in order to remit your payment and your receipt of such payment is conditioned upon compliance with such requests.

9. GENERAL CONDITIONS

Patexia reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the operation of the Contest, providing irrelevant responses, using the platform for personal or business promotions, or to be in violation of Patexia’s Terms of Service or Privacy Policy.
 
If for any reason this Contest is not capable of being conducted as planned, Patexia reserves the right to cancel, terminate, modify or suspend the Contest. If the Contest is terminated or postponed, notice will be posted on the Site.

10. LIMITATIONS OF LIABILITY



PATEXIA IS NOT RESPONSIBLE FOR LATE, LOST, ILLEGIBLE, OR MISDIRECTED ENTRIES ON ACCOUNT OF TECHNICAL PROBLEMS, HUMAN ERROR, OR ANY COMBINATION THEREOF.
 
IN NO EVENT WILL PATEXIA, ITS DISTRIBUTORS, AFFILIATES, SUBSIDIARIES, VENDORS, ADVERTISING AGENCIES, PROMOTION AGENCIES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES OR AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE CONTEST. WITHOUT LIMITING THE FOREGOING, EVERYTHING IN THE CONTEST IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT ALLOWED BY YOUR JURISDICTION. IN ALL EVENTS, THE SOLE MAXIMUM LIABILITY OF PATEXIA AND ITS AFFILIATES SHALL BE LIMITED TO THE VALUE OF THE CONTEST PRIZES.

11. ARBITRATION AND DISPUTES



As a condition of participating in this Contest, you agree that any and all disputes, arising out of or relating to the Contest, shall be resolved individually, and you expressly waive the right to bring any form of class action. All disputes concerning the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to the conflict of laws rules thereof, and you agree to the exclusive jurisdiction and exclusive venue of the federal, state and local courts in Los Angeles County, California for any disputes.

The names of the Contest winners may, at the sole discretion of Patexia, be posted on the Site.
