Docket Text: MINUTE entry before the Honorable Sharon Johnson Coleman: On July 26, 2019, the Court granted 7-Eleven's Fed. R. Civ. P. 12(b)(6) motion to dismiss Shakti's counterclaims. In doing so, the Court allowed Shakti to file a motion for leave to file an amended counterclaim, which is presently before the Court. Under Fed. R. Civ. P. 15(a)(2), a party may amend its pleadings with the court's leave, which courts freely give "when justice so requires." Kiebala v. Boris, 928 F.3d 680, 684 (7th Cir. 2019). "There is a presumption that a plaintiff should have an opportunity to test a claim on the merits." Lee v. Ne. Ill. Reg'l Commuter RR Corp., 912 F.3d 1049, 1052 (7th Cir. 2019). District courts, however, also have discretion to deny leave to amend "where there is undue delay, bad faith, dilatory motive, repeated failure to cure deficiencies, undue prejudice to the defendants, or where the amendment would be futile." MAO-MSO Recovery II, LLC v. State Farm Mut. Auto. Ins. Co., 935 F.3d 573, 582 (7th Cir. 2019) (citation omitted). In granting 7-Eleven's motion to dismiss Shakti's counterclaims, the Court concluded that 7-Eleven's alleged retaliatory motive was of no consequence because 7-Eleven had good cause for terminating the franchise agreements. (Dkt. 67.) In response to the present motion for leave to amend, 7-Eleven argues that any amendment is futile because Shakti failed to cure the deficiencies highlighted in the Court's July 2019 ruling. To clarify, in the original counterclaim Shakti did not argue that 7-Eleven's default notices were inaccurate or improper. Instead, the basis for counter-claims was that 7-Eleven targeted Patel and had an improper motive. The Court thus concluded that "[w]ithout any contention that the violation notices are inaccurate, the counter-plaintiffs' claims establish that 7-Eleven had good cause to terminate the franchise agreements." See Epstein v. Epstein, 843 F.3d 1147, 1150 (7th Cir. 2016) (a plaintiff can "plead himself out of court by pleading facts that show that he has no legal claim") (citation omitted). After reviewing 7-Eleven's futility arguments against amendment, the Court finds that Shakti has added allegations to the amended complaint challenging the notices of default, including that the multiple notices were based on the same alleged conduct and mischaracterized the alleged misconduct. The Court grants counter-plaintiffs' motion [73] for leave to file an amended counterclaim. IT IS SO ORDERED. Mailed notice. (ym, )
