| Aug 15, 2023 | 68 | ORAL ORDER: The Court, having reviewed the parties letters regarding the Protective Order (PO) (D.I. 61, 62, 64), hereby ORDERS as follows: (1) With regard to Dispute No. 1 ( 11), the Producing Party shall produce Source Code at the office of its Outside Counsel in Silicon Valley, CA. Such arrangements are not uncommon, and Defendants relevant operations are in Silicon Valley. The Source Code shall be produced in electronic (e.g., native) format, as originally agreed to by the parties. Moreover, Plaintiff has sufficiently demonstrated with two sworn declarations that reviewing Source Code and Source Code documents that have been converted to adobe pdf files is inefficient and cumbersome (see Holley and Rubin Decl.s) and, moreover, that traditional source code review tools and capabilities do not work on adobe pdf files; meanwhile, Defendant countered with two sentences in its letter brief that adobe is more secure than C++ because copying PDF code off the Source Code computer is more difficult than copying native code. But, among other protections, the PO already restricts printing, only permits handwritten notes, prohibits copying Source Code into the handwritten notes, and the Source Code computers have disabled ports and are without internet or network access. Given the rather robust built-in protections for Source Code in the PO, Defendant has not shown that this additional measure is warranted. Accordingly, the Court is persuaded that the Source Code and Source Code documents should be produced in electronic (e.g. native) format, not merely in computer searchable format. (2) For Dispute No. 2 ( 11(c)(i)), the Court adopts Defendants proposal. When Source Code is re-produced in a traditional format, the Court suspects Plaintiffs proposal will no longer be necessary and that the tools it requested previously will suffice. (3) With regard to Dispute No. 3 ( 11(c)(iii)), for the reasons set forth in Dispute No. 1, the Court adopts Plaintiffs proposal. The Court is persuaded that producing Source Code in pdf files is not workable in this case. It should be produced as it is kept or would be collected in the normal course of business, not in adobe pdf files. (4) With regard to Dispute No. 4 ( 11(c)(v)), the Court adopts Plaintiffs proposal, which comes from the Default Standard for Access to Source Code. The Court acknowledges Defendants point that this language may be substantively redundant, but Defendant has not identified any harm or confusion stemming from its inclusion. (5) With regard to Dispute No. 5 ( 11(c)(vii)), the parties previously agreed to 5 copies. In its letter, Defendant did not acknowledge its prior agreement to 5 copies or explain what circumstances may have changed to justify now arguing for zero copies. Similarly, Plaintiff previously agreed to store Source Code at the offices of its Outside Counsel only, but now does not acknowledge that agreement nor satisfactorily explain, considering Defendants concerns about safeguarding its Source Code (see D.I. 38, Exs. 2-3), what changed. The Court therefore adopts Defendants proposal, with the modification that the language from the second sentence of Plaintiffs proposal (relating to the 5 copies) be added. (6) With regard to Dispute No. 6, the Court adopts Defendants proposal. Given Defendants concerns regarding its Source Code, the Court appreciates why being able to determine whether printed portions of Source Code have been copied is useful. That said, any watermark should not render the text difficult to read such that the copy is unusable, nor should the watermark indicate that the copy is unauthorized, given that Plaintiff may make 5 copies. (7) Defendant failed to provide sufficient justification for including the threat of money damages and possible criminal sanctions in the PO. Such language was not in the previous agreed-upon version, nor in any protective order to which Defendant has pointed the Court, and Defendant put forth no articulable concern that such language needs to be included now. Last, Plaintiffs request regarding the source code technical document designation is denied. Plaintiff may challenge over-designation, if it occurs, through the processes set forth in the PO. The joint claim construction chart shall be due one week after the parties have completed their exchange of final contentions, and the joint claim construction brief must be filed at least three weeks before the claim construction hearing. The parties shall leave at least three weeks between the claim construction hearing and the opening of expert discovery. The parties are to use the Court's form scheduling order, which is posted at http://www.ded.uscourts.gov (see Chambers, Judge Noreika, Forms), and the parties must include a proposal for the length and timing of trial.
