The partial motion seeks the dismissal of Counts III and IV for failing to state a claim under FRCP 12(b)(6). These two counts, however, are premised on the same operative facts that the Lanham Act counts (Counts I and II) are based upon. As a result, Counts I-II and Counts III-IV are properly construed as two legal theories, rather than two claims. Legal theories are not governed by 12(b)(6); in fact, plaintiffs need not even include legal theories in their pleadings. See, e.g., Alioto v. Town of Lisbon, 651 F.3d 715, 721 (7th Cir. 2011) ("[W]e have stated repeatedly (and frequently) that a complaint need not plead legal theories, which can be learned during discovery."). Because the motion to dismiss does not allege the insufficiency of the identical claim giving rise to the legal theories laid out in Counts I-II and III-IV, the motion to dismiss [32] must be denied.
